OPC Compliance
Maintain your corporate status with expert-led MCA filings and
simplified statutory reporting.
One Person Company (OPC) Compliance is a set of annual legal requirements mandated by the
Ministry of Corporate Affairs (MCA). Even though an OPC is managed by a single individual, it is
treated as a separate legal entity under the Companies Act, 2013, making regular filings
essential to safeguard its limited liability status and operational license.
What is OPC Compliance?
OPC Compliance involves the timely submission of the company’s financial records and annual
performance reports to the Registrar of Companies (ROC). Since an OPC has only one
director/shareholder, the compliance burden is lighter than a Private Limited company, but
strict adherence to deadlines is still required to stay "Active."

- Solo Entrepreneurs registered as an OPC.
- Small Scale Service Providers operating under corporate structure.

How to Apply for
OPC Compliance?
OPC compliance is handled electronically through the Ministry of
Corporate Affairs portal:
Basic Steps:
- Finalize the annual accounts and get them audited by a practicing Chartered Accountant (CA).
- File the audited financial statements within 180 days from the end of the financial year.
- Submit the abridged annual return containing details of the director and nominee before the
due date.
- Prepare and sign minutes of at least two board meetings (conducted in each half of the
calendar year).
- File the company's ITR-6 with the Income Tax Department to declare taxable income.
Advantages and
Limitations
Advantages
- Ensures the company remains a "Going Concern" and avoids being blacklisted by the
ROC.
- Proper compliance records make it easier to convert an OPC into a Private Limited
company later.
- Timely filings maintain the "Corporate Veil," protecting the owner’s personal assets
from business liabilities.
- Enjoy exemptions from certain complex compliance requirements like holding an AGM
(Annual General Meeting).
Limitations
- Failure to file forms on time attracts heavy additional fees and daily penalties.
- Unlike small businesses or LLPs with low turnover, an OPC must get its accounts
audited regardless of its income.
- Financial performance and director details are available for public inspection on
the MCA website.
- Any change in the nominee requires fresh filing and legal documentation.
